1. Acceptance of Terms
By engaging Mokgabane Consulting (Pty) Ltd for corporate logistics and consulting services, you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you and the Company.
2. Scope of Services
We provide specialized corporate logistics, supply chain optimization, and strategic consulting services. The specific deliverables, timelines, and scope will be outlined in a mutually signed Statement of Work (SOW).
3. Client Obligations
The Client agrees to provide accurate, complete, and timely information, documentation, and access to necessary resources required for the effective execution of our services.
4. Quotations & Pricing
All pricing and quotations provided are valid for a period of thirty (30) days from the date of issue. Pricing is subject to revision if the scope of the project changes significantly.
5. Payment Terms
Invoices are generated upon milestone completion or on a monthly basis, as stipulated in the SOW. Payments are due within thirty (30) days of the invoice date.
6. Service Timelines & Delays
While we make every effort to adhere to projected timelines, they are estimates and may be subject to change due to unforeseen logistical variables or circumstances beyond our control.
7. Limitation of Liability
Mokgabane Consulting (Pty) Ltd shall not be liable for any indirect, incidental, or consequential damages. Our total liability under these terms is strictly limited to the total amount paid by the Client in the twelve (12) months preceding any claim.
8. Intellectual Property
All intellectual property rights pertaining to methodologies, templates, reports, and proprietary processes developed or provided by the Company remain the exclusive property of Mokgabane Consulting (Pty) Ltd.
9. Suspension & Termination
Either party may terminate the service agreement by providing thirty (30) days prior written notice. We reserve the right to suspend services immediately in the event of a material breach of these terms or non-payment.
10. Governing Law & Dispute Resolution
These Terms of Service shall be governed by and construed in accordance with the applicable corporate laws of the jurisdiction in which the Company operates. Any disputes shall be subject to the exclusive jurisdiction of the competent courts.
11. Amendments
Mokgabane Consulting (Pty) Ltd reserves the right to amend these Terms of Service at any time. Any changes will be communicated via our official channels and become effective immediately upon publication.
